Terms of Service

Effective date: June 30th, 2026 These Terms govern your use of Task Manager (the "Service"), provided by Divergence Holdings Pty Ltd ("we", "us"). By creating an account or using the Service, you agree to these Terms, the Privacy Policy, and the Acceptable Use Policy (incorporated by reference).

1. Eligibility & accounts

  • You must be at least 18 and able to form a binding contract.
  • You're responsible for your account credentials and all activity under your account. Keep your password secure and enable MFA where available. Notify us of any unauthorised use at steve@smallbizsystems.com.au

2. The Service

  • A productivity tool for organising tasks, with optional file attachments and AI-assisted features.
  • We may add, change, or remove features. We aim for high availability but the Service is provided on an "as available" basis.

3. Your content

  • You own your content. You retain all rights to the tasks, transactions, files, and other data you put into the Service.
  • You grant us a limited licence to host, store, process, and display your content solely to provide the Service to you (including processing through the service providers listed in the Privacy Policy).
  • You are responsible for your content and for ensuring you have the right to upload it. You must comply with the Acceptable Use Policy.

4. Acceptable use

Your use is subject to the Acceptable Use Policy, including the prohibition on uploading full payment-card numbers, government IDs, health data, and other people's personal information without authority.

5. Not professional advice

  • The Service is an organisational tool, not professional advice of any kind.

6. Privacy

Our handling of personal information is described in the Privacy Policy.

7. Availability, "as is", and warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind. We do not warrant that it will be uninterrupted, error-free, or that data will never be lost.

8. Limitation of liability

To the maximum extent permitted by law, you agree to limit any liability claims arising from any losses suffered from using Task Manager.

Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy you have under Australian Consumer Law that cannot lawfully be excluded.

Subject to the above, you agree to limit liability for any losses connected with Task Manager to not more than 12 months management/access fees paid to access Task Manager. All indirect or consequential losses are excluded from any liability claims, to the extent permitted by law.

9. Indemnity

To the extent permitted by law, you agree to indemnify us against claims, losses, and costs arising from: (a) your content; (b) your breach of these Terms or the Acceptable Use Policy (including uploading prohibited sensitive data); or (c) your unlawful use of the Service.

10. Suspension & termination

  • You may stop using the Service and delete your account at any time.
  • We may suspend or terminate access for breach of these Terms or the AUP, or where required by law. On termination we will handle your data per the Privacy Policy (including deletion on request).

11. Changes to these Terms

We may update these Terms. Material changes will be notified by email or in-app; continued use after the effective date constitutes acceptance.

12. Governing law

These Terms are governed by the laws of Queensland, Australia, and you submit to the non-exclusive jurisdiction of its courts.
